Seller Agreement
Version v0
DRAFT - pending external legal review
Last updated October 12, 2026
Who this agreement is between
This agreement is between you, the seller, and [Company name] (placeholder, to be confirmed) ("Prismint", "we" and "us"), which runs prismint.shop.
By finishing seller sign-up, you agree to this agreement, the prismint.shop Buyer Terms, the Claims and Refund Policy, the Prohibited Items Policy, the Prismint Terms of Use and, if you use the seller API, the API Terms. If this agreement and one of those documents disagree about selling on prismint.shop, this agreement wins.
Who can sell
prismint.shop is invite-only. To sell, you must:
- be invited by Prismint and pass our seller review;
- be a business or an individual of legal age based in the United States, with a US bank account;
- finish identity and payment set-up with our payment processor, Stripe; and
- keep your contact details, business details and tax details current.
We can decline an application or stop inviting new sellers at any time.
What you can list
During this early version you can list single, ungraded trading cards in English from the games prismint.shop supports (today: Pokémon), in one of the five conditions in "Condition standards".
Graded cards, sealed products, non-English cards and sales to buyers outside the United States are not part of this version. Some items are never allowed; see the Prohibited Items Policy.
Selling limits
New sellers start with these limits:
- up to 100 items listed at once;
- up to $1,000 in total listed value; and
- no single item over $500.
We may raise your limits as you complete orders with few problems, and we may lower them if claims, late shipping or account issues come up. We tell you when your limits change.
Adding inventory
You add inventory by uploading a CSV file or through the seller API. Each item needs the card, its condition, its language, its finish, the quantity and, if you like, your own SKU.
You must actually have every item you list, in the condition you list it in, ready to ship. Keep your quantities current. If an item sells somewhere else, remove it from prismint.shop right away.
Prismint sets the price
Prismint sets the price of every listing on prismint.shop. You can't set or change it. We set prices on our own, from Prismint's own card value data, and we don't use any other seller's private information to set your price or your payout.
You can remove any listing, or all of them, at any time, for free. Removing a listing never affects your limits, your standing or other sellers' prices.
Prices change as card values change. When a buyer starts checkout, the price shown is locked for that order, and so is your payout for it. A price change after that doesn't affect the order.
You set your own prices everywhere else you sell. Don't discuss, agree or coordinate prices, payouts or selling terms on prismint.shop with other sellers. If you have feedback on a price, send it to us, not to other sellers.
How a sale works
Prismint is the seller of record for every order on prismint.shop. The buyer buys from Prismint and pays Prismint. You supply the card and ship it to the buyer for us, and we pay you for each item you supply.
The buyer sees your seller name as the shipper and, where the law requires it, your seller details. Order receipts and card statements show Prismint.
Title to a card passes from you to the buyer when you hand it to the carrier.
Fees
[Pending the owner's answer to `D-fee-holiday`. Owner directive for when payments are designed: For your first 180 days on prismint.shop, starting on the date of your first sale, you pay no fees. Prismint charges no commission and pays the card processing costs on your orders. After that period, the fees in the seller fee schedule apply. We'll tell you at least 30 days before your fee-free period ends and before any fee changes.]
We never charge you to list or remove an item.
Payments and payouts
You set up payouts with Stripe, our payment processor. Stripe verifies your identity and holds your bank details. Prismint doesn't see your full bank account number.
When an item sells, your payout for it shows in your seller console as pending. It becomes payable 72 hours after the carrier shows the order as delivered. For an envelope without tracking, it becomes payable 72 hours after the expected delivery window for that shipping tier ends. If the buyer opens a claim on the order, the payout for that order stays pending until the claim is settled. Other orders aren't affected.
We send payable amounts to your bank account in a daily batch. Your seller console and the seller API show every pending amount and why it's pending.
If we refund a buyer because of a problem you're responsible for (see "Claims"), or a card network reverses a payment that you're responsible for, we take that amount from your pending or future payouts. If those aren't enough, you agree to pay us the difference within 30 days of our request.
We may hold payouts for longer if we reasonably suspect fraud, prohibited items or a breach of this agreement. We tell you why, unless the law doesn't allow it.
Taxes
Because Prismint is the seller of record, Prismint works out, collects and pays sales tax on prismint.shop orders. Don't add tax to your prices or collect it from buyers.
You're responsible for your own income taxes. If you reach the federal reporting threshold, we send you and the IRS a Form 1099-K for your prismint.shop sales. To do that, we need your correct tax details through Stripe. If you don't provide them, we may hold your payouts or apply backup withholding where the law requires it.
Condition standards
List every card in one of these conditions:
- Near Mint (NM): looks unplayed, with at most a tiny edge or corner flaw.
- Lightly Played (LP): minor edge or corner wear, light scratches; no major damage.
- Moderately Played (MP): noticeable edge, corner or surface wear; may have minor creases.
- Heavily Played (HP): heavy wear, creases or whitening across the card; still intact.
- Damaged (DMG): tears, water damage, ink, bends or other damage that changes how the card looks.
If you're between two conditions, choose the lower one. Our condition guide has photos and more detail; it is part of this agreement.
Shipping
Ship each order within 2 business days after it's placed, and add the tracking number or mark it shipped in your seller console or through the API.
Pack each order to the tier for its total:
- Under $20: penny sleeve and card saver in a flat envelope. Use a tracked envelope label if one is available to you.
- $20 to $49.99: [envelope or parcel; tracking recommended. The tier table in the seller console governs.]
- $50 or more: top loader, team bag and bubble mailer, shipped as a tracked parcel. Tracking is required.
You can buy labels through prismint.shop (provided by our shipping label partner) or use your own. If you use Pirate Ship, export open orders as a CSV and import the tracking numbers back.
If you can't ship an order in time, cancel it in your seller console so we can refund the buyer. Repeated late or canceled orders can lower your limits.
Claims
A buyer can open a claim if an order:
- doesn't arrive;
- isn't what was listed (wrong card, version, language or finish);
- arrives in a lower condition than listed; or
- contains a counterfeit card.
Buyers add photos to support a claim. You must respond within 2 business days through your seller console or the API, with your own photos or information if you have them. If you don't respond in time, we decide the claim without your response.
Prismint decides every claim. We may refund the buyer in full or in part, ask the buyer to return the card, or decline the claim. As a guide, for a card one condition grade lower than listed, the buyer gets back about 10% of the item price for each grade. When a claim is your responsibility, the refund comes out of your payout for that order. If the buyer returns the card, we send it back to you or tell you where it is.
The Claims and Refund Policy has the full process and time limits.
Counterfeit cards
Never list or ship a counterfeit, proxy or altered card. If a buyer gets one from you, we refund the buyer in full and take the refund and any return shipping from your payouts. We may also remove all your listings while we look into it, and we may close your account.
We may keep a counterfeit card that's sent back to us and not return it to you.
Prohibited items
You must follow the Prohibited Items Policy. It includes counterfeits and proxies, altered or trimmed cards, box breaks, mystery packs and repacks. We remove listings that break it.
Seller information and the INFORM Consumers Act
US law (the INFORM Consumers Act) requires us to collect and check certain details from high-volume sellers, and to show some of those details to buyers. You agree to:
- give us your bank account details (through Stripe), tax ID, and a working email address and phone number within 10 days after we ask;
- let us, and Stripe, verify those details;
- confirm once a year, when we ask, that your details are still correct, or update them; and
- if your yearly sales on prismint.shop reach $20,000 or more, let us show buyers your name, physical address and contact details, as the law requires.
If you don't do these things in time, we must suspend your selling until you do. Buyers can report a listing or a seller to us from any listing page.
The seller API and webhooks
You can manage inventory, orders, shipments, claims and payouts through the seller API and receive updates by webhook. Use of the API is also governed by the API Terms [link when `WS-legal-licensing-E06` publishes them]. Keep your API keys secret. Anything done with your keys counts as done by you.
Listing prices are read-only in the API, as they are everywhere else.
Buyer information
We share each buyer's name and shipping address with you so you can ship their order. Use it only to ship that order and handle any claim about it. Don't contact buyers for marketing, add them to a list, or share their details with anyone except your shipping carrier or label service. Delete or securely store it once the order and any claim are finished, unless the law requires you to keep it.
The marketplace privacy notice explains how Prismint handles seller and buyer information.
How you sell
- Describe every item honestly and photograph it truthfully if you add photos.
- Use only photos you took or have the right to use.
- Don't ask buyers to pay or finish a sale outside prismint.shop.
- Don't leave fake reviews or file fake claims.
- Follow all laws that apply to your business.
Suspension and ending this agreement
You can stop selling and close your seller account at any time. You must still ship or cancel your open orders and respond to open claims.
We may limit, suspend or close your seller account if you break this agreement or the law, if claims, cancellations or late shipments are too frequent, if we can't verify your details, or if keeping your account open would put buyers or Prismint at risk. We tell you why, unless the law or a safety reason doesn't allow it. You can reply to popsikle+prismint@gmail.com to ask us to look again.
When your account closes, your listings come down. We pay you what you're owed after open orders and claims are settled, less any amounts this agreement lets us take.
Responsibility and limits
You're responsible for the items you list and ship, including that they are genuine, as described, and yours to sell. You agree to cover Prismint's reasonable costs if a claim from a buyer or anyone else arises because you broke this agreement or the law.
Prismint provides prismint.shop as it is. Except where the law doesn't allow it, Prismint isn't responsible for lost profits or indirect losses, and our total responsibility to you under this agreement is limited to the greater of $100 and the fees you paid us in the 12 months before the claim.
Changes to this agreement
We may change this agreement. We'll tell you at least 30 days before a change that affects your fees, payouts or rights takes effect. If you keep selling after that, the new version applies. If you don't agree, you can close your seller account before the change takes effect.
Governing law and notices
This agreement is governed by the laws of [State] (placeholder, to be confirmed), and disputes are handled in [County and state] (placeholder, to be confirmed), except where the law where you're based says otherwise.
We send notices to the email address on your seller account. Send notices to us at [Mailing address for legal notices] (placeholder, to be confirmed) or popsikle+prismint@gmail.com.
